EXHIBIT 55.3 Terms of Bharti Airtel's FCCB. Issue date & size: 1 million FCCBs with a face value of USD 1000, worth USD 1000 million. The issue opened on January 8, 2020, with the first settlement date on January 17, 2020. The FCCB would be listed on Singapore Exchange. Coupon: Fixed coupon of 1.50 per cent, paid semiannually in equal instalments of USD 7.50 on February 17 and August 17 every year. However, the first coupon of USD 8.75 to be paid on August 17, 2020. Redemption: 102.66 per cent of par value to be repaid on February 17 2025. Conversion: Each FCCB to be convertible into 134.8807 equity shares of Bharti Airtel having a face value of Rs 5 each. The initial conversion price of Rs 534 per conversion equity share (which was at a premium of 20% to the QIP issue price).
