As a consultant to Morgan Stanley and its Information Technology Department, Ted Michaels is responsible for securing computer connections between Morgan Stanley and its Prime Brokerage clients. Ted has access to numerous confidential and proprietary documents. These documents include a list of all of Stanley's Prime Brokerage hedge fund clients along with the formulas used to calculate the rates paid by clients to Stanley for prime brokerage services. Ted is approached by Sarah Pearl who is a former Morgan Stanley client service representative. Sarah wants to start a consulting firm with Ted using the confidential client list. She believes together they can provide the same services to these clients at a lower cost. After a number of phone calls and e-mails, she talks Ted into sending the client list to her as an e-mail attachment.
