Certain agreements are so thoroughly one-sided that fairness precludes enforcing them. Problems of unconscionability often arise in situations in which the bargaining power of one of the parties is much superior to that of the other where one can, in effect, “twist the arm” or otherwise take advantage of the other. Both the common law of contracts and UCC Section 2-302 give the courts the power to modify or refuse to enforce such deals.
