Kerry’s Bagels Inc is a corporation that is owned and operated by Paul Kerry in Victoria, British Columbia. Bagels were a popular item in the late 1990s but recently the trend has been toward wraps and Italian-style sandwiches, and Kerry’s Bagels sales have fallen off. In June 2014, Paul found that he was unable to fund his payroll of 12 employees because of continuing financial difficulties. At the same time, however, he arranged for funds to be paid by the corporation to himself as his wages as president of the company. On 10 September 2014, less than a month after paying the funds to himself, Paul decided he had had enough and he caused Kerry’s Bagels to make an assignment in bankruptcy. The trustee has now come forward and wants to know whether the wage payment by the corporation to Paul could be challenged under the BIA.
