12. Transfer of rights and obligations

(1) The Manager shall not, without the prior written consent of the Owner, assign or transfer or in any way attempt to assign or transfer any or all of its rights and obligations arising under this Agreement.

Hey, could you please interpret the clause above in relation to assignment and novation and whether the clause applies to both and the implications its has on assignment and/or novation. Thanks!

Also side question: if the facts are that novation does not apply as obligor party did not consent, can assignment still be enforced if the facts relate to the sale of a business? Thank you in advance :)
