19. In mid-2018, Lip Sync Ltd (LSL) began their preparations for a Carnival concert (known as Raise your Rag) to be held in the grounds of Queens Park Savannah on January 1st 2019. In June 2018, LSL entered into a contract with the Queens Park Savannah Management Committee, which were responsible for the stage and its grounds, for its use as the venue for the concert. In July 2018, LSL was able to engage the famous band Xtatic to appear at the concert as the main performer and in August 2018 it engaged the services of Tribe Ltd, an advertising agency, to advertise the concert and the groups that would be appearing. This advertising contract contained the following clause: It is a condition of this contract that the advertiser will place newspaper advertisements in all the national, daily and Sunday newspapers and social media sites between 10th August and 20th December 2018. On the 15th September, LSL discovered that Tribe had not placed any advertisements in two of the Sunday newspapers on Sunday 12th September and there was no Facebook advertising. On the 18th September, LSL terminated the advertising contract with Tribe and the same day employed another advertising company, Bliss Advertising Ltd. The new agreement required Bliss Advertising to engage in an intense advertising campaign between the 20th September and the 20th December 2018. However, by the 22nd September, all 50,000 tickets for the concert (at a cost of $300 each) had already been sold so LSL cancelled its contract with Bliss Advertising. Bliss Advertising was very annoyed as it considered being associated with the promotion of Raise your Rag would bring in further advertising work from other sources. It therefore decided to ignore the cancellation and continue the three-month advertising campaign. On the 21st December, LSL received an invoice from Bliss Advertising for the sum due under the terms of its contract. Furthermore, Tribe Ltd has issued a writ in the High Court for damages for wrongful termination by LSL. Advise LSL.
