1.Ciara is a collector of rare shoes, who lives in Dublin. On 26 November 2020, she saw an advertisement on Nayke's Official Instagram that they are releasing a limited edition of Nayke Air Max 270 in a collaboration with the Avengers movie franchise. Nayke announced that the first 30 visitors who visit its store in Budapest by 5.00 pm on 27 November 2020 will be eligible to purchase the shoes. Ciara immediately wrote a comment on the announcement post that she was on her way to Budapest to buy the shoes. When she arrived at the store at 2.00 pm on 27 November 2020, the staff of Nayke store informed her that due to overwhelming response by the public, the 30 pairs of shoes have all been sold. Ciara felt very disappointed as she had spent a lot of money for the flight ticket. She wishes to sue Nayke, claiming that there is a valid agreement between them as she had already accepted the offer on Nayke's Official Instagram. Advise Ciara on whether she could sue Nayke.
2.As soon as she returned to Dublin, Ciara authorised Jim, her agent, to sell her antique jade necklace for not less than 3,000 and to purchase twenty laptops for her business for up to 6,000. Jim bought the necklace himself for 3,000 using a third party and then sells it on to a dealer for 4,000. Jim kept the 1,000 he has made. Jim, who is well known at PC World PLC as an agent for Ciara, contracted to buy ten laptops from them for 7,500. Advise Ciara.
3.Additionally, Ciara and Julie were partners in a food truck business called Eat4U. They regularly ordered fresh chicken from Ithe Foods Ltd. To cut costs, Ciara asked Julie not to order any more chicken from Ithe Foods Ltd but instead to buy it at the local supermarket. The next day Julie gets a new customer and, wanting to make a good impression, she again ordered chicken from Ithe Foods Ltd, who knew nothing of Ciara's request. Two months later, Ithe Foods's bill has not been paid and Ithe Foods threatened to sue Ciara and Julie as the partners of Eat4U. Ciara blamed Julie for the situation.
(a) Advise Julie whether she will be liable to pay the debt from her personal resources if Eat4U has insufficient assets to pay for the debt.
(b) If Eat4U was a limited company rather than a partnership, explain, giving reasons, who would be liable for the debt to Ithe Foods Ltd.
