1.Sunny, the soleproprietor of Sunny & Co, incorporated a company, Sunny Sdn Bhd and sold the business in Sunny & Co to Sunny Sdn Bhd. All the shares in Sunny Sdn Bhd's are held by Sunny. Sunny Sdn Bhd's supplier, Bright Sdn Bhd, has just been informed by its new accounts officer that Sunny would not be liable for the debts of Sunny Sdn Bhd.

You are required to advise Bright Sdn Bhd whether the advice given by its account officer is correct and any steps they could take to make Sunny liable for the debts of Sunny Sdn Bhd.

2.Kim took steps to incorporate the company, Cut Sdn Bhd. Knowing that the company required a license to operate its business, Kim took steps to apply for a license from the authority. She was awarded the license in February 2020. Cut Sdn Bhd was incorporated on 16 March 2020 and Lainah was appointed its director. When Lainah requested Kim to transfer the license to the company. Kim refused and said that she applied for the license in her personal capacity and thus the license belongs to her. You are required to advise the company on whether the company could require Kim to transfer the license to the company.
