The proposed shareholder resolution will need to focus on an issue of investor concern and
be considered sensible to attract the attention of the investor community. If there has been
prior shareholder activism against this company on this issue, then you will need to make
sure that your new resolution adds value to what has gone before.
For the purposes of this exercise the resolution should take the form of a special resolution
conforming to UK legal requirements, even where the company is listed elsewhere. You will
need to look at relevant example shareholder resolutions by online research.
Neither the shareholder resolution nor the supporting statement should read like a
conclusion to an essay, and no further section entitled "Conclusion" or "Recommendations"
is needed.
5. Draft supporting statement
This document states your argument for why the resolution should be adopted by
shareholders. The maximum is the limit imposed by UK company law for a
supporting statement. Even if your subject company is listed elsewhere you must abide by
this constraint for the purposes of this assignment.
Note: you may come across examples of shareholder resolutions - particularly in the US
market - in which the supporting statement is quite short, and much more of the argument
is incorporated into the resolution itself. instead divide the
work between the resolution and supporting statement as directed here: the demand is set
out in the resolution, while the argument is set out in the supporting statement.
The supporting statement should:
focus on convincing investors (not human rights or environmental activists) why the
resolution should be supported;
address the financial implications for the company and its shareholders of the issues
covered by the resolution by, for example, indicating which variables in a valuation
based on DCF analysis could be negatively affected by the issue; and
to the extent possible, use independent references (i.e. evidence of favourable
expert opinion) in support of the resolution. You should refer briefly to specific
applicable norms.
