4 Legacy Bhd was incorporated in December 2015. The first annual meeting (AGM) of the company was held in March 2017. Mikhael and his uncle, Mahadir, are members of Legacy Bhd. Mikhael attended the meeting but Mahadir did not as he did not receive the notice of the meeting. The company claimed that no notice was sent to Mahadir due to an accidental omission. In the meeting, two separate resolutions were passed that are to alter the company's articles of association. As well as to increase the company's share capital. Both resolutions were passed by 60% majority Advise Mikhael and Mahadir on the following: a) Whether the company had breached the Companies Act 2016 in failing to hold AGM in 2016 b) Whether the resolutions to alter the company's articles of association and to increase its share capital were passed by the majority required under the Companies Act 2016. c) Whether Mahadir can challenge the validity of the meeting on the ground that he did not receive the notice of the meeting
