A solicitor had control of a number of companies, including Consul Developments Pty Ltd, which purchased, renovated and then resold properties. The solicitor's clerk owned a company called DPC Estates, which was also involved in property purchases, renovations and resale. A manager was appointed to manage the companies under the control of the solicitor. He often passed on information to the solicitor's clerk about properties Consul Developments was going to buy, which was in breach of his agreement with the solicitor. The solicitor's clerk then used that information for the benefit of his own company, DPC Estates, by purchasing those properties.
