(a) With reference to the relevant corporate governance codes, review and contrast the composition of board of directors (university councils) for public universities as provided for by the Higher Education Act No. 4 of 2013 with the Higher Education Act (Amendment) of 2021.

(b) Based on your findings in (a), what are your comments on the selection of board members for public universities and the degree of independence of these boards, given their composition?

(c) In your opinion, what do you think could be the best way of selecting board members for public universities and what contributions do you think independent non-executive board members could make to corporate governance structure in public universities, given the financial challenges that public universities are facing?

(d) Having examined the composition of board members (university councils) for public universities in Zambia as provided for by the Higher Education Act No. 4 of 2013 and the Higher Education Act (Amendment) of 2021, what recommendations could you be making to the Parliamentary Committee on Legislative Drafting to strengthen the Higher Education Act (Amendment) of 2021, specifically, on the composition and nomination of the board of directors (university councils) for public universities, outlining clearly the justification for your proposal?
