Fact Pattern:

You are a junior attorney in a Connecticut law firm. You have met with a new client who wishes to create a business organization. From the fact pattern below, write a memorandum to the client advising what business organization you recommend, why and what, if any, consequences there are. Remember, good advice includes both the bad and the good. The client should be fully informed so that the client can make a well-informed decision.

Client: Beatrice Goldberg, client, is a 76-year-old woman who has never owned her own business. She was recently widowed. Her late husband was a very successful businessman. Upon his death, he left her a sizable life insurance policy along with an extensive estate, which he left to Beatrice and their six children.

Beatrice is quite the “cat” lady. She adores and loves her seven cats. Beatrice wants to create a fashion line for cat apparel made from all-natural, organic hypoallergenic fibers and materials. Beatrice is very environmentally and socially conscience. Her passion for cats, for the environment and for making money is critical to the success of her business.

Beatrice expresses that she wants to avoid paying taxes; she thinks that the Government is a bunch of rich guys who just want to pollute the Earth. She would rather give the money she would pay in taxes back to the community, especially animal shelters.

Running the business is equally important to her. She realizes that at her age she cannot do it all but with help she can do amazing things. What is most important is that she has the final say, even if she is not there all the time. Beatrice’s husband was very controlling; thus, she learned from the best. However, she does realize that she cannot control it all. Like sand in a fist – the harder you squeeze the more sand escapes.

It is important to Beatrice that she protects her estate and other assets from her greedy children. When she passes, she wants to leave everything to her grandchildren and of course, her cats.
