This sales agreement is entered into this 25th day of February, the year 2022 between Lexos LTD with location address 6534-Winstone Avenue (as the seller) and Johnson Preschool Center with address 4548-Jackville Avenue (as the buyer). Article 1: Contract Start and End Dates The contract starts on 1st March of 2022 and lapses at the end of the accounting period on 28th February 2023 (a period of one year).

Article 2: Parties: (The buyer and the seller) The seller (herein also referred to as the vendor) is Lexos LTD located on 6534-Winstone Avenue. The buyer is Johnson Preschool Center with address 4548-Jackville Avenue (as the buyer).

Article 3: Goods/Services: Lexos LTD manufactures and distributes children's toys. Toys are made of plastic, aluminum, fabric, and rubber. Toys produced and distributed to Johnson Preschool Center are. 1. Learning toys for infants-age 3-6 years of age

Article 4: Price/Payment Method Prices are fixed during the contract period and devaluation of the currency, exchange rate, and other economic factors will not affect prices agreed upon in this contract. Learning toys- Minimum order quantity (100 units at $10 per unit) or 5% discount for a single receipt purchase of minimum of 2000 units. Learning Toys will be payed for by credit card, or set up a payment plan for over two years to pay 41.66 monthly. All purchased products are paid cash for delivery. Strictly cancellation of order is not allowed.

Article 5: Delivery Method The manufacturer bears the responsibility of delivering all purchased units and ensuring that the items purchased sustain it's quality upon the delivery to the premise of Johnson Preschool Center. Any damages upon delivery will result to breach of contract. Delivery will be by UPS or by a preferred delivery by Johnson Preschool Center.

Article 6: Johnson Preschool Center Responsibilities (at least two) 1. Pay for the product upon receipt of delivery 2. Inform the seller of any order 30 days before due delivery to facilitate manufacturing and transportation Article 7: Lexos LTD Responsibilities (at least two) 1. Produce goods that meet the need of the consumer 2. Deliver products to the destination of the buyer Article 8: Breach of Contract Clause Any violation of failure of any party to deliver its part will lead to immediate liability. The aggrieved party will calculate reasonable loss attributed to the failure of the other parts and demand for compensation. Pursuant to the applicable law.

1. If either party fails to deliver on their part of the contract, the other party may demand compensation for reasonable losses attributed to the failure.

2. If either party violates the terms of the contract, the other party may demand compensation for any resulting losses.

3. If either party fails to meet their obligations under the contract, the other party may terminate the contract and seek damages.

4. If either party breaches the confidentiality clause of the contract, the other party may seek damages.

Article 9: Alternative Dispute Resolution Clause Any dispute resulting from this sales agreement should be resolved in these steps

Negotiation-the interest of this method is to make the buyer and the seller reconcile without involving third parties.

If negotiations fail then proceed to the following step

Binding arbitration. Litigation shall follow business law that governs our country.

Article 10: Entire Agreement Clause This agreement contains the absolute understanding of the parties with respect to the nature of their business and, shall, therefore be superior to any other contract of understanding.
