8. Max Bialystock and Leo Bloom, two Jersey Boys operated a store On Broadway and 42 d Street in the Theater District of Manhattan called "Hold Me! Touch Me! Inc." selling souvenirs including t shirts, costumes and music from past and current Broadway shows. Each day before and after attending the theater a Chorus Line of theater goers who Come From Away would stream into the store to buy souvenirs reflecting their love of the "Lullaby of Broadway". Unfortunately, when the COVID Virus hit NYC Broadway theaters were forced to close and as of this date there is no projected date for theater re- opening. Max and Leo had to close the store for a few weeks under government order but were lucky enough to have an on -line business that has had Wicked success. Despite the on-line business Max and Leo Ain't to Proud to admit that their on-line business can't be the Producer of enough revenue without the Crazy For You theater customers to pay the In The Heights rent for the store. Max and Leo have Nine years left on their lease, which they have each guaranteed to their landlord, known as the "Mean Girl". They are now 6 months past due on their Rent and their landlord has threatened to start eviction and collection proceedings Once the court system permits. Do you think that their Landlord will be successful in the eviction and collection actions? What defenses can Max and Leo raise? Please explain the basis for your reasoning
