Person, a merchant, who wants to unload his excess widgets because he purchased too many for Christmas, sent to John Purchaser, a store owner who sells widgets, an offer to sell to Purchaser 5000 widgets for $5000. Purchaser believed this to be a great price because it was $1000 less than he could have purchased the widgets from another merchant. He sent a letter of acceptance to Person agreeing to the terms of the offer provided that Person pay the $59.00 shipping charge. The person did not object but sold the widgets to Peter Buyer instead for $5500 Purchaser states that there was a contract between him and Person and that Person breached the contract because Person did not object to Purchaser's letter of acceptance, and the additional terms became part of the contract. The person claims that Purchaser's letter was a counteroffer because it violated the Mirror Image Rule and him, Person was free to sell to Buyer.
