Anton was in business as a retail dealer in costume jewelry. In addition, he frequently served as a purchasing agent for similar goods. In December 2019, Paco, a retailer for whom Anton had occasionally acted for the past, wrote to Anton requesting his services. It was agreed that Anton would be authorized to make purchases on Paco's behalf for a specified quantity of costume jewelry form Dream Diamonds Limited (DDL). One of thetermsof the agreement with Anton was "No goods should be purchased in excess of $20,000 unless authorization to do so is obtained from Paco."Paco also gave Anton a company's credit card for emergency purchases on behalf of the company (which was for company use only not personal).

Anton, occasionally dealt with DDL on his own account, and was indebted to DDL for $3500 for various items purchased on credit earlier that year.Anton immediately contacted DDL and arranged for the purchase of the costume jewelry to the value of $22,000.00. Anton also informed DDL to include the debt owed in the final figure to be paid. Anton signs the contract for the goods on behalf of Paco. It is only upon delivery of the items that Paco realizes that: 1. the amount to be paid is in excess of the authorized amount and 2. Anton included his debt to DDL in the final figures.Later that day Paco receives the credit card statement and realizes that Anton has been using the card for his personal use on items such as lunch, gifts for his girlfriend and to pay his utility bills.Advise Paco.
