Antrasec Technologies a company registered under Indian Company law had entered into contract with Genius solutions Ltd .There was a disagreement regarding few term of contract which needs to be modified and same was done in a meeting with only three directors without reference to statutory meeting and the quorum of board of director were seven in total. Other four directors want a legal remedy. What should be the advice?
