"XYZ Department Store, Inc., based in the state of California (henceforth XYZ), agrees to purchase coffee from El Rico Caf Corp., based in Maricao, Puerto Rico (henceforth Rico Caf). After six (6) months of supplying coffee to XYZ, Rico Caf decides to terminate the contract because the purchasing company owes them $500,000.00. Rico Caf decides to take legal action to claim back the owed amount. The coffee distribution agreement signed by both parties did not stipulate in which state court a dispute between the parties would have to be resolved if the scenario ever occurred."
