Assignment 4A Technology Transfer - License Agreement

You are a partner in a law firm and you have asked a new associate to draft a license agreement for a U.S. client, which is licensing its technology to a licensee in Belgium. The new associate tells you she has never drafted a license agreement before, and she has some questions. First, she says she knows the granting clause and the grant-back clause in the agreement are very important, but she does not know why. Second, she asks what she should know about drafting a clause dealing with Royalties. Please tell her what she needs to know to be able to draft these clauses in the agreement.

1) The WTO has been criticized as not being sufficiently to environment and conservation concerns. Please respond being as specific as you can using the material assigned for this module.

2) The WTO has made a number of changes and additions to the GATT. Please identify what you consider to be the most significant changes or additions the WTO has made to the GATT using the material assigned for this module and citing the most relevant provisions of the relevant WTO agreements.
