Lillian Liberty is a sole practitioner who shares office space with another sole practitioner. The two attorneys share a receptionist and a legal secretary. Each attorney employs a paralegal.

Lillian Liberty's firm is a general practice firm, including commercial transactions and litigation. Many of her clients seek her counsel for assistance with contract disputes.

Liberty often teaches for the Institute for Continuing Legal Education (ICLE) that offers courses and seminars for the professional development and continuing education for lawyers, paralegals, and legal assistants.

Assignment

Every month, the paralegals and attorneys in Liberty & Associates meet for lunch in what they call LEDs (Lunch and Education Discussions). This month you are responsible for starting the discussion about hybrid transactions. Everyone in the firm will prepare the following to present for discussion at the LED:

(1) An example of a hybrid transaction and explain why it is a hybrid transaction;

(2) An analysis and explanation regarding whether the Uniform Commercial Code (UCC) governs your example transaction by applying the predominant factor test and why. What is the explanation and what predominate factor test should be applied to the analysis?
