The cards were to be shipped to Mexico to be incorporated with snack food products manufactured there. Kliff sub-contracted with Grace Label, Inc. to produce the cards. Grace Label is a corporation located in the US State of lowa. Kliff and Grace Label agreed that the cards had to be FDA approved for contact with food. Grace Label did not have direct contact with Barcel because Kliff did not want Grace Label to be in contact with its customer. Barcel rejected the cards because they were not food compatible.
