Miss Boden is a director at Liverpool Consulting Ltd. (LCL), a company based in Christchurch. There are three other directors of the company but as none of them live in Christchurch, Miss Boden ends up undertaking the day-to-day management of the company. Miss Boden enters into a contract with Enfield Advertising Ltd. on behalf of LCL to provide e- advertising for the company. Enfield Advertising Ltd. provides a successful e-advertising campaign for the company. It then invoice LCL for its services, but LCL refuse to pay arguing that Miss Boden had no authority to enter into the contract on its behalf, as she had not been appointed its managing director.
