Charlotte Holdings Limited (the "Company") is a company incorporated in Hong Kong whose shares are listed on the Stock Exchange of Hong Kong. Due to personal reasons, Mr. Paul Wong ("Mr. Wong"), resigned as the company secretary of the Company on 2 April, 2020 because he planned to leave Hong Kong. He filed a Form ND4 (Notice of Resignation of Company Secretary and Director) reporting his resignation as secretary of the Company with the Companies Registry before leaving Hong Kong.

On 2 April 2020, Mr. Matthew Lee ("Mr. Lee"), who has been the personal assistant to the chairman of the board for more than 15 years, submitted to the chairman an application for an internal transfer to become the company secretary. In this regard, the chairman of the board has no objection to the internal transfer in view of Mr. Lee being an associate member of the Hong Kong Institute of Chartered Secretaries as well as his work performance, and the urgent need for the appointment of a new company secretary to replace Mr. Wong on a temporary basis.
