Corporate Governance: 0505333 Activity: Students (divided into groups of 3s ) are required to prepare Integrated Corporate Governance model. The model should be based on a case study representing any hypothetical organization from any industry sector. Real case studies representing real organizations are preferred (though, it is optional). Submission date: Submissions are due end of week 13. Late submissions will not be accepted. Submissions should be on elearning. Grading: This activity will represent 20% of the overall course score. Well-prepared assignments will have extra bonus of 2 marks. Models should be 15-20 pages minimum. Note: Poor submissions will not be marked at all. Model details: All models should include, but not limited to, the following aspects: 1. The purpose of the model ( 1 or 2 paragraphs). 2. A briefing illustrating the case of the activity whether hypothetical or real organization ( 1 or 2 pages). 3. One page showing the route-map of the model, as well as its structure. 4. The model should contain tables, graphs, and figures as necessary illustrating the elements of the Corporate Governance model. 5. The different components of integrated Corporate Governance system. 6. All involved departments within an organization. 7. All elements of Corporate Governance including people involved responsibilities and exact involvement. 8. Clear reflection of, but not limited to, the following: - The corporation history. - Corporate governance principles. - The Board of Directors structure. - Solutions employed to address the principal agent problem: monitors, executive incentives, crime and punishment. - Responsibilities of management in corporate governance. - Examining the various compliance controls. - Designating management's role in compliance evaluation and reporting processes. - Examining the audit committee and external accountant requirements. 9.
