Danial had entered into a contract for the sale of his land in Gambang to his friend, Ali. A few days later, Danial and Ali had a quarrel over some personal matters. Consequently, Danial refused to transfer the land to Ali. In order to prevent the transfer, Danial had formed a development company known as Danial Builders Sdn Bhd (the company). He than transferred the land to the company that he had formed. Ali now wishes to seek a court order to compel Danial and the company to transfer the land to him.

With reference to the Companies Act 2016 and decided cases, advise Ali on the following:

a)The concept of separate legal entity

b)Whether the court will lift the corporate veil pertaining to transaction on the land
