Datuk Sri Blueberry is a majority shareholder of a company called Berries Brothers Sdn. Bhd who held 78 percent of the shares in the company. He also acts as an executive director of the company with the assistance of another two directors, Mr. Huckleberry and Miss Lingonberry. The company continues to make profits and owns several factories throughout Malaysia. In January 2019, a purchase of a factory was made by the company from Datin Mulberry at the price of RM3.2 million. However, no disclosure was made to the board of directors or the general meeting on the fact that Datin Mulberry is Datuk Sri Blueberrys sister and the factory was in a very poor condition. As a result, the company suffered financial loss. On behalf of the company, Mr. Huckleberry seeks your advice in taking a legal action against Datuk Sri Blueberry for breach of directors duties. Miss Lingonberry decides to build a house for her parents in Kota Tinggi, Johor. One of her former colleagues, Mrs. Chokeberry suggested her land which is located at Kampung Anggur, Kota Tinggi for such purpose. She agreed to sell her land at the price of RM 460,000. On 10 October 2019, both parties signed a contract for the transaction with a deposit of RM260,000. Subsequently, Mrs. Chokeberry found out that the price of the land has increased aggressively. She decided not to proceed with the sale of the land. She was prepared to pay for the damages for breach of contract but not to give up the land. Since the transfer of the title has not yet been done, Mrs. Chokeberry surreptitiously formed a company called The Miracle Chokeberry Sdn. Bhd. and sold the land to the company. Now that the land has been sold to the company, advise Miss Lingonberry on whether she can sue Mrs. Chokeberry and reclaim the land in Kampung Anggur, Kota Tinggi. Datin Sri Strawberry, the wife of Datuk Sri Blueberry, agreed to collaborate with Tun Cranberry, a well-known businesswoman and fashion icon to launch organic products for women. Both parties agreed on the conditions that the capital of the collaboration will be provided by Tun Cranberry while Datin Sri Strawberry will be responsible in managing the collaboration including stock production and marketing strategies. The profit of such collaboration will be divided equally between them. After the first product of such collaboration was successfully sold out in the market, Tun Cranberry refused to divide the profit equally. Tun Cranberry claimed that such collaboration does not amount to anything since there is no agreement between the parties and it was never registered. She also added that the capital was fully sponsored by herself which does not entitle Datin Sri Strawberry to claim for half of the profit made. Advise Datin Sri Strawberry. Mr. Huckleberrys son, Mr. Raspberry, is an expert interior design consultant. In January 2020, he was hired by a company called Berry Developers Berhad to purchase Boca Do Lobo furniture for the companys new offices in Kuala Lumpur and Singapore. According to the agreement, he was instructed to arrange the purchase and delivery of the furniture to both offices. All arrangement and delivery must be carried out within two months with extensive care and diligence. He agreed to the conditions. He managed to secure the furniture within two weeks. When the furniture arrived from Portugal, the fabric padding to protect the leather furniture was detached during shipment. The charcoal to absorb moist in the container was removed too. Due to time constraint, Mr. Raspberry ignored the incident and assured Berry Developers Berhad that the furniture is in excellent condition and ready to be delivered. The leather furniture was badly stained with unpleasant odour when it arrives at the offices. The company later found out about the incident and the furniture was not insured by Mr. Raspberry throughout the process. Advise Berry Developers Berhad on their rights against Mr. Raspberry .
