Despite aggressive marketing, Merry Managers is not attracting many Marks customers. William, frustrated at the lack of profitability of the venture, decided to work as a consultant for a rival business without disclosing his activities to the others. This proved to be very profitable for William and he decided to keep the profits for himself. William's secret activities were only discovered when a visiting client recognised William and advised Harry and Charles. Harry and Charles, angry at this revelation, confronted William who denied all accusations. a) Advise whether Charles and Harry will be able to force William to disclose his secret activities and to share the profits with the others. b) Advise whether Charles and Harry can vote to remove William from the business structure.
