Diablo Food Trading International, Inc. ("DFT") sells avocados to California Trading Co. ("CTC"). For each transaction, CTC emails its order, and DFT sends an email confirmation. DFT then ships the order, and CTC accepts. Nine transactions occurred without any problems. However, during COVID, CTC told DFT that CTC will not pay for five orders. DFT sues CTC. Identify and discuss any and all pertinent legal issues under a) the common law of contracts and b) the Uniform Commercial Code. Make sure to explicitly identify each and every legal issue, its requirements, and whether DFT or CTC will win and why.
