2. a. The company wishes to call for a general meeting in Kuching. Esther who is a shareholder of the company claims that the company is not allowed to do so since its business operations and registered office are in Bandar Sunway. The Board of Directors then decided to also have a meeting in Bandar Sunway via video-conferencing. Advise Esther whether the meeting is valid.
3. b. The company wishes to remove its auditor, Farah. The Board of Directors decided to pass a written resolution to do so. All the members of the company signed the resolution and unanimously agreed to remove Farah as the auditor of the company. Advise Farah on the validity of the removal.
