Every month, the paralegals and attorneys in Liberty & Associates meet for lunch in what they call LEDs (Lunch and Education Discussions). This month you are responsible for starting the discussion about hybrid transactions. Everyone in the firm will prepare the following to present for discussion at the LED:

(1) An example of a hybrid transaction and explain why it is a hybrid transaction;

(2) An analysis and explanation regarding whether the Uniform Commercial Code (UCC) governs your example transaction by applying the predominant factor test and why.
