FACT & PROCEDURAL HISTORY On April 17th, 2019, Noke Pelisson (Plaintiff) brought suit against Hanna (defendant) alleging breach of contract. Hanna (defendant) had promised to Pelisson (Plaintiff) via an oral contract a fifty or at least thirty percent of ownership, or shares of profits, from certain business activities they had discussed for a period of years and later they even formed some business entities based on these discussions and agreements. Pelisson was highly involved in the business activities, he spent time and efforts dealing with the business operations, knowing and trusting Hanna with the oral contract, that he will have a (fifty or at least) thirty percent share in these businesses. Hanna had other thoughts though, he communicated with Pelisson in such a way that Pelisson was confident that he will get his shares in the businesses, but in fact, he had directed his attorney to exclude Pelisson from the contracts. Hanna breached the contract by not giving to Pelisson his interest shares in the businesses
