Facts: Chen is a manager member of IP Specialists, a 15-person member-managed LLC located in Silicon Valley and New York, engaged in helping startup companies get their products to market. Chen met with an entrepreneur named Abby in New York, who had a cybersecurity software she wanted to market. Chen is actually a spy for the Chinese military charged with stealing intellectual property from American companies. Abby provided a copy of her research to Chen after he signed a non-disclosure agreement. Soon thereafter, without Abby's permission, Chen provided the Chinese military with Abby's cybersecurity software. While driving in New Jersey and texting his girlfriend, Kara Le, Chen was drinking from a bottle of grapefruit flavored vodka. He failed to see a van driven by a soccer mom carrying six children on their way to a post-game pizza celebration after a soccer match and struck the van broadside at 55 miles an hour. Several of the children suffered severe personal and emotional injuries. Chen ran from the scene of the accident and, before he could be arrested, or served with a civil suit, fled to Hong Kong. A few weeks later he wrote to the LLC stating that he was withdrawing from the LLC and was no longer responsible for any debts of the organization. The families of the children who were injured have sued Chen and the LLC for damages in the U.S. District Court for the Southern District of New York. The LLC has counterclaimed alleging they are not responsible for any damages to the children. The LLC also filed a lawsuit in the same court against Chen to absolve the LLC of any responsibility for the accident and payment of damages.
