Facts: Lucas is a manager member of IP Specialists, a 15-person member-managed LLC, located in Silicon Valley, CA engaged in helping companies get their products to market. Lucas met with Nigel in Nevada, ostensibly as a member of IP Specialists, to discuss a new security software that Nigel wants to market for automobiles. Lucas actually works for a company called, XFaxtor, charged with stealing intellectual property from American companies. Nigel was impressed with Lucas's presentation and provided a copy of his research to Lucas after Lucas signed a non-disclosure agreement. Soon thereafter, without Nigel's permission, Lucas provided XFaxtor, with a copy of Nigel's software.
