Facts:

M/s. Pine Electronics, a firm of wholesaler, bought 100 Videocon colour TV

sets from the manufacturers and sold them to M/s. Doorchitra Enterprises, a

firm of retailers. The Doorchitra Enterprises agreed with M/s. Pine Electronics

that they will sell the TV sets at Videocon's list price, in conformity with

Videocon's policy. They also agreed with the wholesalers that they will pay Rs.

4,000/- as compensation to Videocon company on every TV set sold below the

list price. Later, because of intense competition in the market, Doorchitra

Enterprises sold three TV sets at less than the list price. There upon Videocon

filed a suit against Doorchitra Enterprises and claimed compensation.

Doorchitra Enterprises claims that they are not liable to pay compensation.
