Plutocrat entered into an agreement with Alpha Wholesalers Pty Ltd ('Alpha') to purchase from Alpha three StitchPlus sewing machines for $1000 per machine. Payment by Plutocrat was to be made on delivery of the machines to Plutocrat's factory 7 days later. On the day due for delivery, Alpha loaded two large boxes onto its delivery truck at its warehouse. Each box contained two StitchPlus sewing machines, stacked one on top of the other, having come that way when Alpha had purchased them from the manufacturer. Alpha had labelled one box, 'Plutocrat Threads - 2' and the other box, 'Plutocrat Threads - 1 / Comrade's Cloth - 1'. (Comrade's Cloth is another clothing supplier that had also purchased a StitchPlus sewing machine from Alpha. Its premises were to be the truck's next delivery after that to Plutocrat.) However, just after departing Alpha's warehouse the truck was involved in a serious accident. Although the driver escaped uninjured, the truck and its contents were destroyed when its fuel tank (surprisingly) exploded.

Plutocrat entered into an agreement with Beta Hiring and Finance Co Ltd ('Beta') relating to a commercial grade machine for steam-pressing garments ('steamer') owned by Beta. In accordance with the agreement the steamer was delivered to Plutocrat, which was obliged to pay a specified monthly sum to Beta. At the end of 24 months Plutocrat would own the steamer.

After 6 months, the steamer stopped working. Beta claimed that this was due to Plutocrat's own fault and that Plutocrat must repair the steamer itself. Plutocrat took the steamer to the workshop of Gamma Repair and Service Pty Ltd ('Gamma') for repair. As the repair could not be done immediately, Plutocrat left the steamer there. Unfortunately, that evening a storm struck and heavy rain penetrated the roof of Gamma's building. The steamer suffered further damage and now cannot be repaired.

Plutocrat needed additional capital to expand its business. Plutocrat borrowed $50,000 from Delta Bank ('Delta'). Plutocrat executed a deed that granted to Delta a 'security interest' over all of Plutocrat's 'personal property business assets' in respect of its obligation to repay the loan. Delta did not take possession of any of Plutocrat's assets.

Plutocrat held the fee simple in a parcel of Old System title land known as 'The Manor'. Plutocrat had leased The Manor to Elizabeth for a period of 10 years under a document (not a deed) signed by both parties. Subsequently Plutocrat borrowed $100,000 from Falcon Bank ('Falcon'). Plutocrat executed a deed granting Falcon a mortgage over The Manor to secure Plutocrat's obligation to repay the loan.
