Find two sample contracts (focus on a business relationship is preferred, and each contract must be different from the other)

Discuss whether you can identify in each contract the elements necessary to create an enforceable contract.

Summarize each element of a contract and describe the part of each contract which satisfies each element.

You should also highlight which elements, if any, may be missing and how you would fill the missing gap in order to get all the elements necessary for a contract.

Finally, please find the New York statutes which deal with (i) formation and enforceability of contracts and (ii) sale of goods (e.g., did New York adopt the Uniform Commercial Code, and if so, you should cite the statute).
