Flash back 3 months earlier. Nate and Nikki come to the law office to discuss something with you and the attorneys. Debra has been doing a great job. She gave Finley a much-needed attitude adjustment in order to appeal to a larger customer base and has single-handedly grown the business significantly, making both Nate and Nikki enough money that they can choose to work, or not, as they see fit. After the incident with Randy Oldood, Nate and Nikki feel as if Debra has earned more than just an employee's role. They would like to make her a co-owner of the business, owning 30% of Fin's Up imported Coffee. The attorneys have asked for a memorandum to be made outlining the various options they have in formalizing their company into a distinct business entity using THE NORTH CAROLINA GENERAL STATUES as they relate to business entities (specifically Chapter 55, 55D, 57D, and chapter 59). They would also like you to comment on the best method by which to achieve the goal of Debra owning 30% of Fin's Up Coffee.

It's December in downtown Raleigh. The days are shorter, and it gets dark earlier. At 6:00 pm on a Wednesday night in a dimly lit conference room at a law ofce on the 23ml floor, Randy Oldood is nervous. In walks the company President Kimberly Delmolino and the Board of Directors of Chez Suave, Inc. "We have agreed to purchase your shares in the company pursuant to the Buy-Sell provisions of the Shareholders Agreement. The court will accept the proceeds from the sale to be distributed according to the equitable distribution provisions of your divorce decree. You will turn in your company car, and any credit cards for expense accounts in your possession." A lump forms in Randy's throat. "Do I still have a job, Kim?\" Randy asks. "I'm sorry Randy, but you turned a justified Sprained finger into a major embarrassment for this company spending a fortune in legal fees to pursue a frivolous claim. You're lucky that's all she did. Did you think that they wouldn't see the restaurant video? Or ask about any other incidents during discovery? You've left a trail of harassment a mile long. It's only because of the good nature of those surfers that more damage wasn't done." Randy turns to look out the window. "I'm still a pretty good chef, though\" he responds. \"Yes you are, Randy\" answers Kimberly \"just not for us." At the same time, 135 miles away, Nate is finishing some paperwork at the coffee shop. "All good, Boss?" asks Debra. "I'm not your boss anymore, Deb you own 30% of the company now\" he responds without looking up. "Sorry boss old habits\" she jokes. \"Besides\" she says, "it's not ofcial until tomorrow." Tomorrow is the big day. What Nikki and Nate have come to realize after all this time is that since the creation of the business, they've been working without a net. It took the incident with Debra and Randy to help them see that they needed to make some changes. A little older and a little wise r, they realize that selling the coffee was the easy pa rt. It was everything that went along with it that took time, energy, emotion, and yes, money. So before something else happens, they decided to do it right
