Following the introduction of night baseball in 1935, every major league team except one, the Aces, has scheduled most of its home games at night. This has supposedly been done for the specic purpose of maximizing attendance, thereby maximizing revenue and income. The Aces have sustained losses from their direct baseball operations. Derino, a minority shareholder of the Aces club, attributed the losses to inadequate attendance at the Aces' home games. He feels that if the directors continue to refuse to install lights at the Aces' ball eld and schedule night games, the Aces will continue to sustain the losses. Derino further claimed that the president of the corporation refused to install lights not, as the president states, for the welfare of the corporation, but because of his personal opinion that \"baseball is a daytime sport." Derino charged the other directors with acquiescing in the president's policy. Derino led a lawsuit claiming that the directors were acting for reasons contrary to the business interests of the corporation.
