We're going to continue working on the deal between ABC Coffee LLC and Joseph Taylor (the designer). Now that you've done some research into templates and precedents, and got the terms together from the negotiations, it's time to finally put pen to paper.
STEP 1 - Read this template.
After sharing your research with your lawyer, she picks this template as the best starting point for this deal:
Download the template by clicking here.Download Download the template by clicking here.
Note that this template may read differently than the ones you've found online. This template is in plain English. In other words, it is not written completely in legal language or "legalese". Plain English contracts are completely legal (so long as it meets the 4 elements). Some businesses like GE and Google even prefer them over traditional contracts.Links to an external site.
STEP 2 - Draft the contract.
Draft the contract using the template and the terms and facts that you've gathered in the prior assignments.
Typical to many templates, note that for all areas in the template that are [highlighted and in brackets] should be replaced with information specific to this deal. Once you've replaced the language with information specific to this deal, you should delete any brackets and highlighting.
For example:
If the template says:
George loves to eat [TYPE OF FOOD].
In the final version, it will look like this:
George loves to eat pizza and burgers.
You should feel free to edit any other part of the contract or add any additional language if you think it is necessary.
STEP 3 - Review & submit your contract.
Make sure the final version of your contract is accurate and complete. Again, make sure that there are no brackets or highlighted language.
There is no need to sign the contract.
When you are ready, submit a Word version or a PDF version of the contract.
Congrats! You've drafted a legal contract.
