Fresh performed 80% of the work, but Builders had to hire another company, Country Gardens, Inc. ("Country") to finish the job. Builders sued Fresh for the unfinished project and obtained a judgment for $35,000. By the time of the judgment, Fresh had gone out of business. Right before Fresh stopped doing business, Fresh transferred its assets to a new corporation called Garden Refresh Landscaping, Inc. ("Refresh") formed by Jeff, Holly, and Holly's son, Ken. Refresh is also in the landscaping business and is working on projects for many of Fresh's longtime clients. Jeff, Holly, and Ken all work for Refresh. Each is also a director of Refresh.
