Fresh entered into a contract with Pasadena Builders, Inc. ("Builders") to landscape several new homes. Fresh performed 80% of the work, but Builders had to hire another company, Country Gardens, Inc. ("Country") to finish the job. Builders sued Fresh for the unfinished project and obtained a judgment for $35,000. By the time of the judgment, Fresh had gone out of business. Right before Fresh stopped doing business, Fresh transferred its assets to a new corporation called Garden Refresh Landscaping, Inc. ("Refresh") formed by Jeff, Holly, and Holly's son, Ken.
