Hai wanted to become a taxi driver in New Westminster. The difficulty for him was that the city of New Westminster only allows a certain number of taxis.To become a taxi driver, he needed buy both a taxi vehicle and an operating license from a current taxi driver.The city was not awarding new operating licenses.

Hai found a driver named Hailey who was interested in selling her taxi and operating license to him.After lots of negotiating, the parties agreed that Hai would buy Hailey's specially adapted taxi vehicle and operating for license for $150,000.This would allow Hai to realize his dream of becoming a taxi driver.

After agreeing, Hailey changed her mind and told Hai she would not sell- she wanted to continue to drive her taxi for a living.Hai tried for several months to find another taxi operating license holder who would sell to him, but there was no one.

Hai sued Hailey for breach of contract.What Hai really wanted to was not damages (money), but instead the taxi vehicle and license as agreed in the contract.
