Hashir was the general manager of a car parts

manufacturer called AutoParts. His employment contract

contained a clause that prohibited him from soliciting clients

away from AutoParts once he left the company. Hashir

resigned from AutoParts and set up his own business in

direct competition with AutoParts. He actively solicits clients

away from AutoParts and his lawyer advises him he is

breaching the terms of his employment contract with

AutoParts. Hashir decides to transfer the business to a

newly established company. That way, it will be the

company that is soliciting the clients, not Hashir himself,

and he will not be in breach of his employment contract.
