Gould Street Parking Inc. ("Gould") owns a parking garage next to the Superior Eastern Hotel Ltd. ("Hotel"). There was a written contract between the two parties, which was planned to go from 2015 to 2025. Gould was to provide enough parking for the guests of the Hotel. Gould collected the parking fees and was responsible for any damages or other issues with the garage. The agreement stated that Gould would "act in the best interest of the Hotel". On the Hotel's part, they would use "all reasonable efforts" to have its guests exclusively use Gould's facility to store the guest vehicles. Gould would pay 15% of the parking revenue from the Hotel guests to the Superior. Much of Gould's revenue came from the parking arrangement with the Hotel. In 2019 the Hotel had been suffering financially, and Superior Eastern Hotel Ltd. stopped operating the Hotel. The Hotel was torn down shortly after, and of the total interest in the land owned by the Hotel was sold to a developer who built an office building. You work for Gould Street Parking and now are concerned because, with the lack of hotel parking, the lot has significantly less revenue. You are working with the President of the company to see if you have any legal claims against Superior Superior Eastern Hotel Ltd. claims that since they stopped operating the Hotel and even more by tearing down the building, they has no further obligation to Gould You argue that Superior is still obligated to fulfil its contract, and you know of course that the Hotel can no longer provide cars to park, but the President is asking if he has a realistic claim and his expectation to win a financial award from the Hotel computed to the end of the contract in 2025. If you had been advising Gould when they were negotiating the original contract what are some of the legal issues would have recommended the consider during this negotiation and how the contract could be best drafted to avoid this situation.
