The scenario is that I have two managing directors of a company.

Their emplyee is a manager who promised a certain gift in negotiation to obtain a contract with a third party. The directors did not know about this.

I need to know if the two directors or the company they own could face any criminal sanction and if there are any defences available for them?

Is there any steps that can be taken to mitigate the situation by the directors?

I was looking into bribery not not sure I'm in the right area ?

I just need indication to where to look for resolve the issue.
