Saleem agrees over the phone to do it for a Fixed fee of $3,000. Saleem writes the software in his basement, using his own computer, in his own way and delivers it to Big Company. Saleem later sells the same software to another company. Big Company sues Saleem stating that it owns the software and should get the proceeds of the sale. What is most likely? It depends upon whether Saleem was an agent or principal. If an agent, then the software belongs to Big Company, if a principal, than it belongs to Saleem. 2 Saleem was an employee of Big Company and Big Company owns the rights to the software and should get the proceeds.. Saleem acted as an independent contractor and in the absence of an agreement otherwise, Saleem would be entitled to sell the software to others.
