Ickus, Krumm, Oblena and Gromble have been friends since studying at USC together. Krumm and Oblena like to experiment with cooking ideas and some years ago developed a unique line of chutneys and jams. As the venture grew, they enlisted the help of Ickus because he studied marketing at USC and Gromble because he studied accounting and law.

Together they all decided the best business structure would be a company and incorporated and registered Nolox Pty Ltd (Nolox). The company has 100 shares in total, with Ickus, Krumm and Oblena each holding 30 shares. Gromble was busy starting his own accounting practice and was allocated the remaining 10 shares for the work he put in setting up the company. Ickus, Krumm, and Oblena were appointed as directors. Krumm and Oblena accepted their appointments, but Ickus was busy finding new clients and marketing Nolox and consequently forgot to accept his appointment as director.

In the meantime, Ickus has been sourcing raw materials, promoting the company and its products and acting on behalf of the company in commercial property lease negotiations. Oblena is unhappy with some of Ickus' dealings and comes to you for advice.
