Irwin Idea had an idea about developing a family focused restaurant with a golf theme. Since Idea had done all the groundwork, he prepared a partnership agreement offering Moneybags the right to participate in his restaurant as a partner, the right of first refusal to invest and an equity ownership interest of 45%. Moneybags signed the agreement. Idea did not know any lawyers. Moneybags suggested they meet with you to represent them in this new venture. Last month, Moneybags and Idea met with you at your law office. Moneybags introduced Idea as "his partner." You talked for a couple of hours, discussing the preparation of the necessary partnership agreements, the need to raise the necessary capital to finance the project, and the legal work required to set up the restaurant chain. You assured that Idea and Moneybags that you are qualified to do the legal work to set up the chain.
