CASE: Billk thomkr and Bobbk thomkr (brothers) have been long term employees of BRQ Inc. (a company earning $289,000 per year and is the only company providing food to a chain of guesthouses. The annual salary of the thomkrs is $66,000 per year each. The contract between BRQ Inc. and the guesthouses was established in 1997. It is currently being renewed every four years on December 1, taking e'ect January 1 of the following year. BRQ Inc. and the guesthouses agreed to have four deliveries per day so that guests are adequately provided for. The thomkrs are aware that net prot 'om BRQ Inc. catering operation average $2 89,000 per year and that late arrivals have caused tension between the guesthouses and BRQ Inc. a scenario which is contrary to the agreement between the parties. The thomkrs have also started their own food company (thomkrs Inc.) and did not rule out service to the guesthouses. Since starting the company, the thomkrs have been absent 'om BRQ Inc. on a number of occasions without pay and this has contributed to the deteriorated service of BRQ Inc. to the guesthouses. In addition, eleven guests at the guesthouses suffered food poisoning after consuming the food (no fault of their own) on October 15, 2021 and approached the guesthouses, who then informed BRQ Inc. The tainted food can be traced to the work of Bobbk thomkr. The thomkrs have conceded that BRQ Inc. had recent City inspections on September 3, September 18 and October 2, to address the same issue of unsanitary conditions at their facility. BRQ Inc. was given fteen days from October 2, 2021 to improve sanitary conditions at their kitchen or face closure. BRQ Inc. tried to comply with the City's request. Nevertheless, the unsanitary conditions had the potential of causing food poisoning if employees did not exercise a certain level of care, but BRQ Inc. employees are expected to exercise such care when preparing food. The thomkrs are senior employees at BRQ Inc. and Bobbk contends his work met expectations since the manager did not inspect nor disapprove of it. On October 20, 2021, as a result of the aforementioned occurrences, BRQ Inc. received word that the guesthouses would be terminating the agreement (set to expire on Dec 31, 202]) immediately. Given their intimate knowledge of the situation, the thomkr brothers were able to secure the contract with the guesthouses at a price of $69,000 per year for the same services BRQ Inc. had offered and will earn a total $140,000 per year from their operation. The thomkrs do not intend to work at BRQ Inc. again. BRQ Inc. discovered the thomkrs new company and linked its existence to the thomkrs' absence from their (BRQ Inc.) work. BRQ Inc is aware of secret meetings between the guesthouses and the thomkrs, and the impact these meeting have had on the agreement between BRQ Inc. and the guesthouses - including the guesthouses' knowledge of the City's inspection. City oicials have seen no reason to comment. BRQ Inc. will lose $70,000 per year as a result of losing the guesthouses' contract. The guest suffered losses totaling $1088 each, and the guesthouses have lost $4369 due to food poisoning but have not lost any prot because of late arrivals
