James Jamerson, the founder of Funk Brothers, Inc., and a potential new client, calls the Law Office of Berry Gordy Jr. to ask about forming a new corporate entity as a Funk Brothers, Inc. subsidiary. Berry is out of town but his paralegal, Diana Ross, invites James to talk things over. During the first in-person meeting between James and Diana, Diana is asked whether the corporation should be formed in Michigan or North Carolina; James also tells Diana that speed is of the essence.

Diana tells James that the entity could be most quickly and effectively formed in North Carolina. James, impressed with Diana's professionalism, says "Great! Let's get it done." Diana tells James that he has to sign the form retention agreement for all new clients and James does so.

Once James leaves the office, Diana drafts standard articles of incorporation and also fills in the form-book company bylaws and sends them directly to James for his approval. A day later, after James gives the nod to these documents, Diana electronically completes the necessary filings to incorporate the new entity.
